1. About the Service

Memodock is operated by Dorian Bouchard Santiago, a micro-enterprise registered in France ("we," "us," or "our"). Memodock is a learning application that enables users to generate flashcards from their own content using artificial intelligence and study them using spaced repetition algorithms.

2. Acceptance of Terms

By creating an account or using Memodock, you confirm that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws

If you do not agree to these Terms, you may not use the Service.

3. Description of Service

Memodock provides:

• Tools to upload text documents (.txt, .md files) as learning sources
• AI-powered flashcard generation from your uploaded content
• Spaced repetition study sessions to help you learn effectively
• Deck management and organization features
• Optional public deck sharing (when you choose to make content public)

The Service is currently offered on a freemium basis, with both free and paid features. We reserve the right to modify features, pricing, or service offerings at any time.

4. Account Registration

To use Memodock, you must:

• Provide accurate, current, and complete information (email address and username)
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. User Content and Ownership

5.1 Your Content

You retain full ownership of all content you upload to Memodock, including:

• Source documents (text files)
• Any edits you make to generated flashcards

By uploading content, you represent that you have the right to upload and use that content, and that it does not violate any third-party rights or applicable laws.

5.2 AI-Generated Cards

Flashcards generated by our AI from your source material are your property. You may edit, delete, or export them as you wish.

5.3 Public Content

If you choose to share a deck publicly through our future "Shared Library" feature:

• You grant Memodock and other users a non-exclusive, worldwide license to access and use that content
• You retain ownership, but make the content available for others to study from
• You can remove public decks at any time, which revokes others' access

5.4 Our Use of Your Content

We do NOT use your content to train AI models or for any purpose other than providing the Service to you. Your uploaded documents and generated cards remain private unless you explicitly make them public.

6. AI and Third-Party Services

6.1 AI Processing

Memodock uses third-party AI services (OpenAI, Google Gemini) to generate flashcards from your uploaded content. When you generate cards:

• Your content is sent to these AI providers for processing
• Processing is done solely to generate your flashcards
• We do not authorize these providers to use your content for their own training purposes

6.2 Service Availability

AI-generated content quality may vary. We do not guarantee:

• Perfect accuracy of generated flashcards
• Continuous availability of AI services
• Specific generation results

You are responsible for reviewing and editing generated content before use.

7. Acceptable Use Policy

You agree NOT to:

• Upload content you don't have rights to use
• Upload illegal, harmful, threatening, abusive, or offensive content
• Upload content that infringes on intellectual property rights
• Use the Service to spam, harass, or harm others
• Attempt to reverse engineer, hack, or disrupt the Service
• Create accounts using automated means or false information
• Share or sell your account access
• Use the Service for any illegal purpose

We reserve the right to remove content and suspend accounts that violate this policy.

8. Payment Terms (Freemium Model)

8.1 Free Service

Memodock offers free access to basic features. We may modify or discontinue free features at any time.

8.2 Paid Features

Some features require payment ("Premium Features"). When you purchase:

• Payments are processed by Stripe and RevenueCat
• Billing terms will be clearly displayed before purchase
• Prices are subject to change with notice to existing subscribers
• Subscriptions renew automatically unless canceled

8.3 Refunds

Refund policies will be specified at the time of purchase. Generally:

• Subscription fees are non-refundable for partial periods
• We may offer refunds at our discretion for service failures

8.4 Payment Information

You authorize Stripe to charge your payment method. You are responsible for providing accurate payment information and maintaining sufficient funds.

9. Intellectual Property

9.1 Memodock's Property

The Service itself (software, design, features, branding) is owned by us and protected by copyright, trademark, and other laws. You may not:

• Copy, modify, or distribute our software or design
• Use our trademarks without permission
• Claim ownership of the Service or its components

9.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal learning purposes, subject to these Terms.

10. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy (available at https://memodock.app/privacy) explains:

• What data we collect
• How we use and protect your data
• Your rights under GDPR and applicable privacy laws

By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Termination

11.1 By You

You may delete your account at any time through account settings or by contacting support@memodock.app.

11.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for an extended period
• We discontinue the Service
• Required by law

11.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• We may delete your account data after a reasonable period
• You remain liable for any outstanding payments
• Sections of these Terms that should survive (payment obligations, limitations of liability) remain in effect

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding AI-generated content accuracy
• Warranties that defects will be corrected

We do not guarantee that:

• The Service will meet your specific learning goals
• AI-generated flashcards will be error-free or comprehensive
• Your data will never be lost (though we implement reasonable backups)

You use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Lost profits or data
• Loss of learning progress
• Service interruptions
• Errors in AI-generated content
• Security breaches beyond our reasonable control

Our total liability to you for any claims related to the Service shall not exceed:

• The amount you paid us in the 12 months before the claim, or
• €100, whichever is greater

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Memodock, its owner, and service providers from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your content or use of the Service
• Your violation of any third-party rights
• Your violation of applicable laws

15. Changes to Terms

We may update these Terms from time to time. When we do:

• We will post the updated Terms with a new "Last Updated" date
• We will notify you via email or Service notification for material changes
• Your continued use of the Service after changes constitutes acceptance
• If you don't agree to changes, you may terminate your account

16. Changes to the Service

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service
• Change pricing with reasonable notice to existing subscribers
• Add or remove features at any time

These Terms are governed by the laws of France, without regard to conflict of law principles.

17.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.

Before filing any formal dispute, please contact us at support@memodock.app to attempt informal resolution. Many issues can be resolved quickly through communication.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Memodock regarding the Service.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account. We may assign our rights and obligations without restriction.

18.5 Language

These Terms are provided in English. In case of conflict between translations, the English version prevails.
